Terms of Use

Effective date: October 7, 2026

Last updated: October 20, 2026

1. Agreement

These Terms of Use ("Terms") govern your use of www.verto360.com (the "Site"), operated by Verto360 Inc. ("Verto360", "we", "us" or "our"). By accessing or using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. About the Site

Verto360 designs, prices and installs prefabricated commercial interiors in Southwestern Ontario and across Canada. The Site describes our services and projects and provides technical resources for architects, designers and contractors. Information on the Site is general in nature and may change without notice.

3. Using the Site

You agree to use the Site only for lawful purposes and in line with these Terms. You must not:

  • interfere with, disrupt or attempt to gain unauthorized access to the Site, our systems or other users' data;
  • use automated tools such as bots or scrapers to copy content or overload the Site, except for ordinary search engine indexing;
  • introduce malware or other harmful code;
  • submit false, misleading or unlawful information; or
  • use the Site or its content to build a competing product or to misrepresent your relationship with us.

4. Technical documents and resources

The technical documents on the Site (such as tech sheets, connection details, acoustic ratings, master specifications and solution guides) are provided for general information to help with planning and design. They are available for download without registration.

  • Many documents originate from our manufacturing partner and may be updated. Confirm that you are using the current version, and check it against the requirements of your project and the applicable codes and standards before relying on it.
  • Documents and ratings are not a substitute for the advice of a qualified architect, engineer or code consultant.
  • Master specifications are editable starting points. You are responsible for adapting them to your project.

5. Intellectual property

The Site, its design and the content we create (text, graphics, images, videos and software) belong to Verto360 or our licensors and are protected by copyright, trademark and other laws. Product names, logos and documents from our manufacturing partner and other third parties belong to those owners and are used with permission or for identification only.

You may view, download and print Site content for your own project and internal business use. You may not sell, republish, modify or distribute our content, or remove any notices, without our written permission.

6. Requests and submissions

When you submit a form or message, you confirm that the information is accurate and that you have the right to share it. Submitting a request does not create a contract. Quotes, proposals and project agreements are separate documents with their own terms.

7. Our AI assistant

The Site includes an AI assistant that answers questions about our services and resources. It may produce incomplete or incorrect answers. Do not treat its responses as professional, engineering, legal or contractual advice, or as a quote or commitment. For anything important, confirm with our team.

8. Accuracy and claims

We try to keep the Site accurate and up to date, but we do not promise that it is complete, current or free of errors. Figures and descriptions of performance, cost, schedule and results (including statements about change orders or reconfigurability) are illustrative and based on our experience. Actual outcomes depend on the project.

9. Third-party links

The Site links to third-party websites and hosts documents from third parties. We do not control them and are not responsible for their content, accuracy or practices. A link is not an endorsement.

10. Disclaimer of warranties

The Site and its content are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will be uninterrupted or secure.

11. Limitation of liability

To the fullest extent permitted by law, Verto360 and its owners, employees and suppliers are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or business, arising from your use of, or inability to use, the Site or its content. Our total liability for any claim relating to the Site is limited to $100 (Canadian dollars). Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to defend and compensate Verto360 against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

13. Changes and termination

We may change the Site or these Terms at any time. We will post the updated Terms with a new "last updated" date, and your continued use means you accept them. We may suspend or end your access to the Site if you breach these Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree to the exclusive jurisdiction of the courts of Ontario for any dispute about the Site or these Terms.

15. General

If any part of these Terms is found to be unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. These Terms and the Privacy Policy are the whole agreement between you and us about the Site.
